Welcome to The Vitals (the “Site”), operated in India by The Vitals. These Terms of Use (“Terms”) are a legally binding agreement between you and The Vitals regarding your use of the Site and the services we provide, including news aggregation, newsletters, educational content, analysis, community features, and other content available through the Site or any internet-connected device (the “Services”).

By accessing or using the Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms and that you have the legal authority to accept them. If you do not agree, you are not authorized to use the Site or Services.

Changes to the Terms

We may change, modify, add, or remove portions of these Terms at any time by posting the updated version on the Site. Your continued use of the Site or Services after updates constitutes your binding acceptance of the changes. From time to time, specific features may be subject to additional guidelines or terms, which are incorporated into these Terms.

We may suspend, cancel, or discontinue any or all channels, products, or Services at any time without notice.

Registration and access

  • Registration: To use certain features, you may need to create an account by providing current, complete, and accurate information, and choosing a username and password. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. If you are a parent or legal guardian, do not share your login credentials with minors and supervise their use where permitted.
  • Social sign-in: If we offer social login (e.g., Google, LinkedIn, Apple), you authorize us to use certain profile information to personalize your experience. You are solely responsible for compliance with the terms of your social account.
  • Geographic limitation: The Site and Services are controlled from India. Access from other jurisdictions is at your own risk, and you are responsible for compliance with local laws.
  • Access to use: You must not share your account or allow access through a single account to multiple users on a network. We may terminate or block access if misuse is detected, including blocking by IP address. You must promptly notify us of any unauthorized use or security breach.

Availability and internet charges

Content availability may change from time to time. You are responsible for internet and data charges from your service provider.

Subscriptions, billing, and free trials (if applicable)

  • Billing: If you sign up for paid Services, you authorize us to charge your selected payment method for subscription fees, add-on services, and applicable taxes. Subscriptions renew automatically unless canceled. You can update your payment method in your account settings.
  • Collections: If amounts remain unpaid, we may pursue collection and you will be responsible for related costs and fees.
  • Payment gateway: Payments are processed by third-party payment gateways. You must follow their terms and ensure accurate and authentic payment details. We are not liable for delays or payment fraud handled by third parties.
  • Free trials: If offered, free trials are at our discretion and may not be combined with other offers. Billing may commence automatically at the end of the trial unless you cancel before expiry. There are no refunds for partial periods.

The Site and Services may contain links to third-party websites. We do not operate or control those websites and are not responsible for their content or practices. Review their terms and privacy policies before providing information or transacting.

Content ownership and license

  • “Company Content” means content owned by or licensed to The Vitals, including trademarks and logos, available through the Site and Services, excluding Third-Party Content and User Submissions.
  • “Third-Party Content” means services, resources, content, or information from third parties accessible via the Site or Services.
  • “User Submissions” means content you provide or upload, such as text, data, images, audio-visual materials, links, comments, and feedback.

Ownership: The Site, Services, and Company Content are protected by copyright, trademark, and other laws. The Vitals and its licensors retain all rights not expressly granted. You may not remove or alter any proprietary notices.

Limited license: Subject to your compliance with these Terms, The Vitals grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial use. You must not copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit content without prior written consent of the rights holders.

User Submissions license: By making User Submissions available, you grant The Vitals and our users a worldwide, non-exclusive, perpetual, irrevocable, transferable, assignable, royalty-free license (with the right to sublicense) to use, copy, adapt, modify, distribute, publicly display, publicly perform, transmit, stream, broadcast, make available, and otherwise exploit such submissions in connection with the Site and Services and to incorporate them into other works in any media now known or later developed. You represent that you own or have the necessary rights to grant this license and that your submissions do not infringe any rights or violate any law. We may refuse to publish, modify, or remove submissions at our discretion.

Third-Party Content and User Submissions: You assume all risks from accessing or relying on Third-Party Content and User Submissions. We are not responsible for their availability, accuracy, or legality, and we have no duty to monitor them. Operators of search engines may crawl the Site to create indices, not caches or archives; we may revoke this permission at any time.

User obligations

You agree to use the Site and Services lawfully and not to:

  • Circumvent or interfere with content protection or access control measures, including geo-filtering.
  • Copy, download, reproduce, broadcast, sell, or exploit the Site or Content without authorization.
  • Remove or bypass copyright, trademark, DRM, or other proprietary notices.
  • Damage, disable, overburden, or impair our servers or networks, or interfere with other users’ enjoyment.
  • Attempt to gain unauthorized access via hacking, password mining, or similar means.
  • Use automated systems (robots, spiders, offline readers) that send excessive requests not reasonably comparable to human usage.
  • Send unsolicited advertising, spam, or solicit login information.
  • Use the Services for commercial purposes not permitted by these Terms.
  • Impersonate others or misrepresent your affiliation.
  • Create derivative works from the Content (e.g., mash-ups, wallpapers, merchandise) without written permission.

Publishers of news and current affairs content using our Services must comply with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and any other applicable laws, including providing required details to authorities where applicable.

You are financially responsible for all use of your account, including by minors, whom you must supervise. All registration and billing information must be true and accurate.

Prohibited activities and illegal content

You must not host, display, upload, modify, publish, transmit, store, update, or share content that:

  • Belongs to another person without rights
  • Is obscene, pornographic, paedophilic, invasive of privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or promotes user harm or enmity between groups
  • Is harmful to children
  • Infringes intellectual property rights
  • Deceives or misleads about origin, or knowingly spreads misinformation or patently false content; do not post deepfakes or AI-generated misinformation
  • Impersonates another person
  • Threatens India’s unity, integrity, defense, security, sovereignty, foreign relations, or public order; incites offenses; obstructs investigations; or insults other nations
  • Contains viruses, malicious code, or is designed to disrupt computer resources
  • Violates any applicable law

Violations may lead to legal consequences under applicable Indian laws. We may report violations to law enforcement authorities as required.

Interactions between users and community features

If the Site permits reviews, comments, or other public postings, your submissions are visible to other users. Do not use these features if you prefer not to share publicly. We may contact users to assess compliance and may remove or disable access to content at any time to operate the Site, enforce these Terms, or comply with law.

We may use comments, feedback, and ideas you submit (“User Feedback”) without compensation to improve products and Services.

Termination, suspension, and discontinuation

We may change, suspend, or discontinue some or all Services at any time without notice. If you are a paid subscriber and Services are suspended or discontinued for reasons not caused by your breach, we may, at our discretion, provide a credit, refund, or other consideration. If your access is terminated due to your breach, you are not entitled to any credit or refund.

We may retain information and associated records as required by law even after account termination and regardless of content removal.

Disclaimer of warranties

The Services are provided “as is,” “as available,” and “with all faults.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error‑free, that defects will be corrected, that content will meet your expectations, or that the Services will be compatible with third‑party software or devices.

Limitation of liability

To the maximum extent permitted by law, The Vitals and its affiliates, officers, directors, employees, agents, licensors, and suppliers shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or connected with your use of the Site or Services, even if advised of the possibility. If any limitation is found invalid, our aggregate liability shall not exceed the subscription fees you paid, if any, for the month preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless The Vitals and its affiliates, officers, directors, employees, agents, licensors, and suppliers from any losses, claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms
  • Your use or misuse of the Site or Services
  • Your violation of any law or third‑party right
  • Any content or material submitted by you

Collection and use of personal information

Our collection and use of personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms. By agreeing to these Terms, you also agree to our Privacy Policy.

For copyright complaints, please include:

  • Your physical or electronic signature
  • Identification of the copyrighted work and the allegedly infringing material
  • Your contact details
  • A good‑faith statement that the use is unauthorized
  • A statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the rights holder

Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, civil commotion, strikes, lockouts, epidemics, lockdowns, or network/utility failures.

Governing law and jurisdiction

These Terms are governed by the laws of India. You agree to the exclusive jurisdiction of the courts at New Delhi for any disputes.

Limited time to bring claims

Any cause of action arising out of or related to your use of the Site or Services must commence within one (1) year after the cause of action accrues, or it is permanently barred.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at our discretion.

Relationship

Nothing in these Terms creates a partnership, agency, or joint venture between you and The Vitals.

Non‑waiver

A failure to enforce any provision is not a waiver of the right to enforce it later.

Entire agreement and survival

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement regarding the Services and supersede any prior understandings. Provisions that by their nature should survive termination will survive, including ownership, licenses, indemnities, limitations of liability, and dispute provisions.
